    "DIRECTORS LEGAL RESPONSIBILITIES, THE
    INSIDER TRADING PROHIBITIONS AND
    MANDATORY REPORTING
    The Corporations Act requires directors and senior
    executives (officers) to exercise powers and discharge
    duties in good faith, in the best interest of the company
    and for a proper purpose.
    The law requires that directors represent the interest
    of all shareholders. Directors should not put their own
    interests or those of other corporations or investors
    that they may nominally represent on the board, before
    the interests of shareholders.
    Directors and senior executives may not apply for,
    acquire or dispose of shares in a company if they
    possess inside information. They may not arrange for
    trades to be made on their behalf. And they may not
    communicate information to others who might gain
    advantage from it.
    Insider information is broadly defined in the law. It
    includes all information that is not generally available to
    the public, and information that the insider trader knew
    or ought to have known might have a material effect
    on the price or value of the companys shares and
    other financial instruments.
    Directors with a material personal interest in a
    matter under discussionfor example, the director
    owns shares in a third party contractormust give
    notice to the other directors of the company.
    Directors should be aware that they are still exposed to
    insider trading restrictions for a period after they retire
    from a board.
    The law requires annual reports of publicly listed
    companies to show directors shareholdings and
    changes to the holdings in the company they serve.
    Directors of listed companies are required to notify the
    share market of relevant interests in securities of the
    company or a related body corporate and of contracts
    to which the director is a party or under which the
    director is entitled to benefits."
