Morgan Hart said in the "diggers and dealers" prensentation
"For circa 20% dilution to the capital structure (based on 100% ownership, 12% dilutionbased on 60%), Emerald shareholders can now benefit from......" And he lists the benefits of the dilution.
BackOfBeyond, Morgan hart calls it a dilution, perhaps you need to take your argument up with him.
