I won't argue with most of that as most of it is a valid perspective.
You do know however that "private placement" is the issue of new shares. As such it is an equity source, not a non-equity source.
Either way I think sentiment has almost bottomed. Nothing unusual or evil in any of it. They will do the CR soon and then 99% focus on speculation over HIV results, ie the main game.
