If i was on the BOD i would arrange a teleconference and invite shareholders who wish to Vote NO to put quesrions in advance of the meeting in writing.
This would allow them to explaun why they support the bid. Its pretty good the BOD are supporting the bid - they do lose their director"s fees if it suceeds..
