On the one hand it is reported that some of the shareholders (likely Instos) have chosen to accept $1.58 as a price at which they are willing to unload a fair swag of their holdings - 17% is significant.

On the other, by searching around news articles in the last couple of months, I can observe references to broker target prices as:

    Goldman Sachs $2.05

    Morgan Stanley $1.30

    Wilsons $1.93

    UBS $2.30

These may have changed, so feel free to update or add to them depending on your own sources.

In brief, in my opinion, a Potentia bid looks opportunistic at $1.58 at a time when the market has been negatively over-reacting to Tech Stocks (my opinion only). Nitro is a company with prospective growth from an enormous addressable market.

Does an indicative non binding bid at $1.58 really reward shareholders sufficiently for this potential?
Each shareholder can ask themselves how confident they are in the Board to successfully execute this growth profile. I am giving them the benefit of doubt at this time based on what information is available to us as shareholders. You can make your own call.
Do the shareholders who sold 17% of the issued capital have more information than we have access to?
The AFR article referred to "Suiters" sniffing around - PLURAL?

If they are to be given Due Diligence access into the Company's inner sanctum, they should be required to provide a material non-refundable deposit to compensate for the distraction a bid will cause to the company's internal resources. The company doesn't need any distractions.

The Board's response will be very interesting..
