    The part of the Explanatory Memorandum that says "the Chairperson intends to vote undirected proxies against resolution 5". Is that saying all people that don't vote, their votes go towards current board. That doesn't seem fair. Wouldn't they just be neutral votes. Or is that not the case? Can someone who has more knowledge elaborate. Thanks
