If the share price goes down to half of what it is today and he decides not to pay out the loan - or the interest payments - the Company would simply cancel the shares. No penalty to him, nothing.
He was 'gifted' the options in the first place for 'services rendered' to the Company. Not one cent has been put in from his own pocket! Yep, really vested in his own Company - not!
