the talk was that Skip wouldn't up the offer unless the board would recommend it, consequently if Skip comes back and offers 25cps the board cannot, in good faith, reject the offer on price.
however as you bolded if the SIA is "not acceptable to the board" then this does provide a mechanism for them not to recommend it..... but not on price, of course....
