Simple solution, make any shareholder who sells post SPP announcement ineligible to participate in the SPP.
But also, keep track of all "institutional" investors who participate in placements at steep discounts only to sell soon afterwards. Ensure they NEVER participate again in any future capital raising.
How hard can it be for a company to implement that?
