For a
Scheme of Arrangement to be approved,
a resolution in favour must be passed at the Scheme meeting by shareholders by both:
A.
75% of the votes cast (based on the number of shares) on the resolution;
andB.
more than 50% of the shareholders voting on the resolution (whether they are attending in person or by proxy).
It is a single resolution.
The Top 20 OZL shareholders held
82.73% of the shares on issue, per February 2022 OZL Annual Report. The Top 46 OZL shareholders held 84.4%.
At 8 February 2022, OZ Minerals Limited had 45,809 shareholders.
@gimmegimmeSo, if you want to defeat the resolution via the second part (i.e.
50% of the shareholders voting on the resolution in person or by proxy, voting NO), you are going to need a bigger 'soapbox' than HotCopper given there are approximately 45,000 OZL shareholders.
