25c is the level this is being capped at because this takes their WGO offer under the value of Beach's, from a purely monetary perspective. Unless there is somehow a free and fair market it might be hard to get through that without a significant catalyst, and there may not be many of those before the end of Jan when Beach want to wrap this up.
