so avoid dilution at current share price,
and in future maximum 1/2 dilution compared to any other equity raise at this time point.
Avoids devaluing Nov23 OB options.
And if in Nov23 share price on or close to 3.5 likely Nov options exercised, and they can repay any notes that don't get converted a month latter, meaning even less dilution.
