    don’t directors owe shareholders fiduciary duties?

    by recommending this acceptance which is clearly detrimental to shareholders interests (a mere 4% increase on previous offer which they recommended “reject”), therefore a breach of their fiduciary duties to us?

    any company law lawyers here?
