Under Australian corporate law, if ASX.MIN obtains 90% of ASX.NWE and applies for compulsory acquisition, the Corporations Act 2001 requires that an independent valuation of NWE be conducted. The independent valuation must take into account the interests of the shareholders of NWE, the value of the assets, and the prospects of the company. This is set out in Section 643 of the Corporations Act 2001.
