they dont have to agree to a takeover as cop can go straight to the shareholders (hostile takeover)... i think what tends to happen (Kraft > Cadbury) is that they try and get approval from management otherwise it tends to not work until they do...
eventually a price would be reached that would be better than fair market value and management say yes and the shareholders follow...
