COP doesn't have to buy all the stock directly. They can do it through front companies or "friendly" companies. They each buy below the threshold. It's done all the time. And if the stock is sub 8 and they offer 10 it looks pretty good to the shareholders. Better than bidding 14 when it's at 12.
