Read through the announcements around when NAL bid was completed, you will find a couple mentions of the Canadian government approving the NAL acquisition on the premise that they go downstream within a certain period of time (4 years from now).

Take into account the size of some of the bidders for NAL and you can fill in the blanks as to how little old Sayona won the bid.

There is always the chance that the clause you mentioned does come into effect, but given the Governments involvement in all of this and their desires and domestic plans - it seems way more likely, to me at least, that the clause is more of a formaility given that it is a JV and that the initial premise of going downstream will take precedence.

Keith the CEO of PLL has been supportive of the idea in recent interviews and if you also consider the recent comments from Trudeau about trying to entice carmakers such as Volkswagen into Canada, NAL fits perfectly into their plans for a domestic battery supply chain. Seems unlikely they specifically outlined for NAL to go downstream within a specific timeline for no good reason.
