Mr Dean Hildebrand is the Chair of the Audit and Risk Committee, however currently is not deemed to be an independent director due to a material commercial relationship he had with the Company within the last three years as a previous nominee director for a significant shareholder. Notwithstanding this fact, the Company has determined that Mr Hildebrand is the best director to Chair the Audit and Risk Committee due to his qualifications, experience and expertise.
