The performance rights are not paid to SBM directors or any individual, they are part of the transaction price paid to SBM company/shareholders.
People seem to think that "performance" shares/rights are only ever paid to individuals - not correct. Corporate transactions often involve some level of performance. Royalties, milestone payments etc...
In this case the "performance" was execution of Tower Hill, but that "performance" milestone has now been changed to a successful shareholder vote. So less "performance" and more "condition precedent".
Be careful accusing people of misconduct on HC...
