A substantial holder can buy and sell as he pleases.
A director can buy and sell when the law permits - when they are not holding inside information not known to the public, and when the timing is not close to certain dates like reporting periods.
So by taking on the director position, he's not able to trade as freely as he usually could. But it allows him to have access to inside information, allowing him to make better suggestions to the CEO, to hopefully help the future of the company (and his/our investments). It appears he has more confidence in his own skills than some of the previous directors. Hopefully that proves right. Either way, his substantial holding gives him relatively more power to take on the position and prove it one way or the other.
