Yes to the first and you should check the terms and conditions with your broker as to whether your stock may be lent.
Also i just checked the CN prospectus again and a Change of Control would effectively accelerate the redemption of the notes as a Change of Control is a Relevant Event... and if a Relevant Event happens, then the Noteholders can ask for their money back at the Early Redemption Amount (which is basically par + accrued interest at 2.25% pa). An acquirer of ZIP would be on the hook to pay ~$349m to the CN holders or so if a takeover occurs around October this year.
