Unfortunately that's not always how these things perceive to the market. Conflicts of interest are still conflicts of interest. Just because it's a net profit to shareholders doesn't mean it isn't a cause for concern.

i agree with the poster above. The terms of the agreement while they could be the best bloody deal management would have ever gotten vs alternatives... institutions and holders have to make assumptions and that is the terms support directors to make coin off the deal. It's a conflict of interest, and good governance 101 - this would require alot of communication and passing out to holders as to why they've gone this route. In a way it's hard for there not be a perceived personal conflict of interest as remember bcn aren't great communicating to begin with, so people are left to fill in the blanks.

at the end of the day directors fees and performance hurdles would have been far less negative than a NSR and the like.
