Capital Gains implications for a company being taken over can vary. Refer to this ATO link for details:

NEU should be able to talk to the ATO about a special CGT ruling for NEU being taken over via a share arrangement but I am not sure whether this only applies if the takeover company is an Australian entity or not. Maybe Acadia could set up an entity that would allow Australia & NZ shareholders to be able to buy and sell their new Acadia OZ holdings via the ASX. If it is a friendly takeover by Acadia, then I am confident Jon and the Board would do their best to maximise the benefit for its shareholders.
