It was an Extraordinary General Meeting therefore those resolutions should have been deemed Special, requiring a 75% majority. The Shareholders were fleeced. Even so, if I were BL and PC I would have said , - "Obviously this is unpopular (by 44%), we'll withdraw Resolutions 1 & 2 until we have over achieved" .
