    Yes, correct. The chairman (or any proxy you nominate) is bound to vote according to your direction if you give it. They cannot change any voting direction that you have expressly given. And it doesn’t matter who the person is you’ve appointed as your proxy, whether it’s the chairman or not, your directions must be honoured.

    Sometimes people will nominate another person (not the meeting chairman) as their proxy with no specific direction on how to vote i.e. leaving it to the proxy’s discretion. Usually this is so you can get them to physically attend the meeting on your behalf because for some reason you cannot, hear all of the details/arguments in person, then make a judgment call for you on which way to cast your votes.

    This is not the case though if you’re nominating the chairman of the meeting and directing him/her to vote according to your explicit instruction for each resolution i.e. FOR x6. There is no ability whatsoever for them to change your vote or not count it because they don’t like the direction you’ve lawfully given them.
