Of course.. slimey self interested behaviour.. focus on running the company, not insulating yourself against the very thing unfolding now. If you take your director's fiduciary duties seriously, how can you say that rushing in that amendment was in the best interest of the shareholders? If he hadn't done that he might be fighting for you harder now. You reap what you sow.
