    I don't think the equity investor is intending to blow their $50 mil. But they will sweep existing shareholders out and take over, nil consideration. If you vote in favour existing shareholders will be backseat passengers of their private company. If you vote no, the company will fold and they will buy the pieces.

    Explain how you see it differently.
