Nominees manage the shareholding on behalf of the beneficial owner.
The nominee owns the stock in name only and carries out instructions from the beneficial owner.
Example below, ACF uses National Nominees (NN). ACF instructs NN and NN then does the donkey work. voting, dividend allocation, whatever.



Whoever benefits the other 3% of NN will need to instruct NN what to do. If no instruction is received, then the nominee does nothing.
