Is there a basis for this? It would result in a breach of ASX takeover thresholds because if invoked it would mean Gina holds more than 20% of the SOI.

Relevant interest is defined very broadly. A person will be deemed to have a relevant interest in a share of the company if that person:
....."has entered into an agreement with another person with respect to the share and would have a relevant interest in the share if the agreement were performed (eg, entry into a share purchase agreement)"
