As others have noted this transaction may simply be Creasy swapping his 40% ownership of Andover for AZS shares. He would then end up with well over 50% ownership of AZS (including the shares he already owns), so it would be a change of control transaction (Creasy with >50% ownership would have control of AZS).
This transaction makes sense as it would make it much easier and simpler to develop Andover (it eliminates the current JV structure where things have to be negotiated between AZS and Creasy). Also, it would simplify and facilitate any takeover by a third party since the third party could simply deal with AZS management/board without the need to also negotiate with Creasy.
