“In relation to the recommendation of the TMT Directors in respect of the Scheme, TMT Shareholders should have regard to the interests of the TMT Directors in the outcome of the Scheme which may differ from those of other TMT Shareholders, as further disclosed in Section 2.11. In particular, Mr Prentice will receive such number of AVL Shares worth $231,703.70 as at the Last Practicable Date in connection with the cancellation of Class E TMT Options (subject to the Scheme being implemented) and the conversion of Class D Performance Rights.”
