Except that AFAIK, AICD broadly defines an "Independent Director" as
1. Must be a non-executive director who is not a member of management (which is what Buckler is)
and
2. Free from any business or other relationship that could materially interfere (or could reasonably be perceived to materially interfere) with independent exercise of that director's judgement.
If the ONLY THING "challenging" Buckler's Independence is he happens to be a Top 20 sharehoder then IMO the response you'd get is that his interets are aligned with shareholders since he has a large common equity shareholding.
Going down a path of "they are mates" so they "vote together" (or do as AB says) wont get you far.
Warren Buffet and the late great Charlie Munger were "stubborn old farts" too.
