As for the impending near-term transaction, DCB made it clear on several occasions that patients were more important than shareholders, so speed to market was the highest priority. The "tomorrow, next week, next month" impending transaction talk wasn't just empty talk. But that was long after you started the misalignment warnings.
BTW this dilemma hasn't disappeared just because two Directors have left. If a BP comes along and says "give us your IP cheaply, we can fund multiple trials" it would be hard for RAC to argue that's a bad outcome for patients.
