Personally I would think the directors would be very embarassed if the options get voted down. Notwithstanding any personal gains and dilution etc, they would surely lose market cred for any future CR's if these options don't success and those that particiapted in the CR are basing their investment purely on the current SP with no value for options. They would be reluctant to support the company in future CR's one would think.
