Normally, when script offer is made the shareholder who end-up getting IPH share may not be interested in IPH business and will most likely sell once transaction completes which will put downward pressure to the share price (In this case IPH) and due to this possibility some people might exit IPH now to re-enter at lower price if that every happens. !
Obviously, this is one scenario which may or may not occurs but I have seen it happening on one of my stock.
