To be a 'sophisticated investor' you have to get an accountant to sign a Sophisticated Investor Certificate verifying you have assets over $2.5M or $250K a year in gross income. Then you have to give that to your broker.

For placements to sophisticated investors, you have to be a client of the broker doing the placement. If you're not a client of broker you won't get access.
