I think you are missing the point that as a shareholder it is not my role to knock down directors and the value they add. It is the board's job to demonstrate to share holders that they are dilligent and transparent with the focus on adding value to the company.

The appointment of a non-executive director who is very junior and appears to have limited junior experience in an unrelated legal field surely would warrant the board explaining how its decision making process and how it believes the appointment is in the best interest of shareholders? The allocation of $300k in options to this director should also be explained because from my readings I have no idea how he added $300k worth of value to justify his allocation.
