The words "Final and Best" offer is a ploy to scare away the weak hands into sellng !!
No it's not. The law says that once you make a "best and final offer" you cannot increase the offer price or extend the deadline. Cyan are offering $2.70 a share and there is no legal way for them to increase the offer from here. So unless you think there's another bidder that's going to be flushed out then you are just arbing a binary outcome on whether the shareholders vote for or against what is on the table.
