ARD need funds for their projects and if they do a SPP or placement, this will knock the share price around a fair bit. I think it will. go through purely because there is not much reason for it to not go through. For all intents and purposes, it is a merger not a takeover hence the lack of premium and I'm sure that USN would have already had a bit of a chat to ARD's major shareholders. USN have around 27% of the company, Moongold (C. Daws) has at least 5% and the company secretary and his family I think have around 10% of ARD. That is around 42% without considering the other Daws' holdings. So they are already halfway there without really trying
