It has surprised me that nobody has moved yet on an FDA-approved drug, with a guaranteed market (already demonstrated in Japan). So I've come to think of 3 reasons:
1. BP don't believe the numbers - Qbrexza sell $25m/yr of product, but BOT is going to sell $200m? Perhaps BP are waiting to see?
2. BOT aren't prepared to let Sofdra go UNLESS a buyout price is adjusted to account (at least to some degree) for Acne, Rosacea & Anti-microbial. These will happen in the next 5 years and Sofdra will fund it - so do BOT go another 5yrs to increase their SP to $5-$10, rather than take $2 now?
3. Negotiations are ongoing!
