The fact that they cannot, is why so many investors take their cues from market analysts, and why those market analysts exist in the first place. The market remains the best arbiter of price at any given time, which is entirely a subjective value based on a price point and bargain struck between buyer and seller. CRs can succeed and they can fail, but they are not priced in and disclosed to market until the price of the investment is agreed between the company and the soph investor, or between the company and its market representatives who are leading the placement. The company naturally will want a higher price per share, and the market, naturally will want to obtain as many shares as possible for as low a price as possible.
