Term sheet doesn’t mention oppies and discount is pretty tight all things considered. Not a bad raise as any debt funding would probably require them to have at least $15-20M in equity now or later so all in all I think this is OK. Best thing would be for directors to dip into their own pockets for say $500K of the raise.
