correct. It is standard jargon but I would suggest that if MY has in fact been ambushed (and his selling of 500K of his own stock in November would suggest so) then this phrase may mean more that the standard release from a company that has receive an offer that is generally considered to be fair and reasonable.
I would be very interested to learn more of the processes and discussions around the $2.30 placements
