It can't be full of words like "mutual understanding" " agree to discuss" potential etc. it has to be this is the upfront payment. This is the length of the agreement. Ave is getting a x percentage of sales. Ave is being paid for the production of the tpm. The geographical area of the agreement is ... and AVE maintain ROW rights.
