If this were the case they would be in breach ASX rules but not announcing to the market a deal has been done. In any case, this is not likely, as the usual process for this type of deal would be to announce its been agreed to subject to conditions including shareholder approval etc. It’s not hard, and does not require the subterfuge you imply is required.
