A Director is supposed to do what is best for shareholders.
This doesn't mean that a nominee Director will vote the same as what they'll do as a shareholder.
Maybe you should spend some time and look back at the history of the ConsMin takeover.
Take Richard Elman of the Noble Group during the takeover of ConsMin, he did exactly what Gennady Bogolyubov will do.
This takeover is 'dead in the water'
