It never makes sense to exercise options while they are underwater. If the shares are cheaper on the market, buy them there and let your options lapse. It also makes sense to wait until the shares are well above the exercise price if you are having to sell some shares (before or after) to fund the conversion. The bigger the difference between the share price and the exercise price, the better off you will be after you've covered the cost.
