Another item to add to the long list of board failures. The board must explain to shareholders:
- Why did they choose to take this course of action and how was it in the best interests of all shareholders?
- Was the board subject to pressure, influence or encouragement from a shareholder or group of shareholders before taking this course of action?
- Was independent legal advice obtained before applying to the Takeovers Panel?
- How much did it cost?
I can't see how any board member that supported this course of action could in good conscience remain on the board.
