Clause 52(a) of the constitution provides for the appointment of a managing director.
Clause 52(c) of the constitution provides that the managing director may be referred to by any title that the directors decide on.

There was no constitutional basis for a "deputy MD" - perhaps "deputy to the MD" may have been a better title as deputy MD implies that the person is a director - which is/was not the case (not withstanding the alternate directorship - which is a separate issue).
