My reading of the court's ruling is that OCP's votes are basically rendered meaningless since the other class must also vote YES. But unless Cohen can successfully lobby other major holders to vote NO (to do that he must be able to show them something better) the deal will just go through at 17c, I think. Because RJL holds just around 5%, not enough to block the deal.
